Glasgow - Hybrid (3 days per week on site)

£675 - £775 P/D inside IR35

1 Year Maternity Cover Contract

This is a senior Company Secretary position within the EMEA CoSec team of a global FS business, covering a maternity leave. The role provides end‑to‑end company secretarial and governance support to a portfolio of UK and EMEA regulated and unregulated entities, including PRA and FCA‑regulated boards and committees. It is a high‑exposure role working directly with Chairs, NEDs, senior executives, and cross‑regional CoSec teams (including Mumbai). The work spans board governance, regulatory compliance, entity lifecycle management, and strategic governance projects.

Key Responsibilities

  • Act as company secretary for a portfolio of regulated and unregulated entities and board committees.
  • Provide full governance support to PRA/FCA‑regulated boards, including agenda planning, board packs, and governance papers.
  • Serve as primary contact for Chairs and NEDs, ensuring smooth board operations.
  • Advise directors on corporate governance best practice, director duties, conflicts, and induction processes.
  • Produce high‑quality minutes (UK listed‑company standard) and support board effectiveness reviews and skills assessments.
  • Draft governance content for annual report and accounts and oversee regulatory filings.
  • Advise on liquidations, dissolutions, restructurings, and refinancings from a CoSec perspective.
  • Support the Mumbai CoSec team on UK entity management and complex queries (KYC, signatory lists, POAs, certifications).
  • Contribute to strategic governance projects, including MI improvements, governance reviews, and training initiatives.

Key Requirements

  • 10+ years' company secretarial experience in a high‑performance, regulated environment.
  • Strong track record working with C‑suite leaders and independent NEDs.
  • Confident, proactive self‑starter able to operate independently and solve problems.
  • Excellent minute‑taking and governance advisory skills.
  • Experience with Blueprint and familiarity with Boardvantage is beneficial.
  • Willingness to travel to London for quarterly meetings.
